Acceptance of Terms

By accessing or using the FlutterTime applications (including our iOS, macOS, watchOS, and Android apps), any tools or calculators we provide (such as our online conversion tools), or any of the websites belonging to DBElement, LLC (collectively, the "Service"), you agree to be bound by these terms of service (the "Terms"). If you do not agree to these Terms, you are prohibited from using or accessing the Service.

Eligibility

The Service is not directed to children. You must be at least 13 years of age (or the minimum age required to consent to the processing of personal data in your country, if higher) to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to agree to these Terms. If you are using the Service on behalf of a minor for whom you are the parent or legal guardian, you agree to these Terms on their behalf and are responsible for their use of the Service.

User Conduct

You agree that you will not use the Service for any unlawful purpose or in any way that violates these Terms. You also agree that you will not use the Service to send spam or other unsolicited messages, or to harass, abuse, or harm anyone.

Shared Content

The Service may allow you to create and share links that encode a selection of time zones and any labels you choose to add. When you create or share such a link, you are solely responsible for its contents, and you represent that you have the right to share them. Shared content reflects the choices of the person who created the link, not DBElement, LLC, and we do not review, monitor, or endorse it.

By sharing content through the Service, you grant DBElement, LLC a non-exclusive, royalty-free license to process and display that content for the sole purpose of providing the sharing feature, such as rendering a preview of your shared time zones. We do not store the contents of shared links on our servers; the content is encoded within the link itself. As a result, we are not able to retrieve, modify, or remove the content of a shared link, and anyone who has the link may be able to view it.

You may not use the sharing feature to create, share, or display any content that is unlawful, infringing, defamatory, harassing, abusive, or otherwise objectionable, or that otherwise violates the User Conduct section of these Terms. We reserve the right to disable or block the sharing features, in whole or in part, at any time and for any reason.

Intellectual Property

The content and materials on the Service, including but not limited to text, images, graphics, and software, are the property of DBElement, LLC or our licensors and are protected by copyright and other intellectual property laws. You may use the content and materials on the Service for your personal, non-commercial use only. You may not use, reproduce, distribute, modify, or create derivative works from the content and materials on the Service without the prior written permission of DBElement, LLC.

Disclaimer of Warranties

The Service is provided "as is" and "as available." DBElement, LLC makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included on the Service.

DBElement, LLC hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, warranties concerning the operation or availability of the Service, the uninterrupted or error-free use of the Service, the accuracy, reliability, or currency of any information provided through the Service, or the absence of viruses, scripts, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights or other harmful components in the Service, its servers, or emails sent from or on behalf of DBElement, LLC.

Certain warranties and limitations on statutory rights may not be excluded or limited in some jurisdictions. If any exclusions or limitations in this section are not enforceable in your jurisdiction, they will apply to the greatest extent permitted by law. However, if any exclusions or limitations in this section are found to be invalid or unenforceable, they will not affect the validity or enforceability of the remaining provisions.

Tools, Calculators, and Conversion Results

The Service may include tools, calculators, converters, and similar features (including our online conversion tools), as well as pages that display conversion results, times, values, or other data, whether generated from input you provide or presented to you directly. All such results and data are provided for general informational and convenience purposes only, on an "as is" basis, and may contain errors, inaccuracies, or omissions. DBElement, LLC does not warrant that any result or data shown by the Service is accurate, complete, current, or suitable for any particular purpose. You are solely responsible for independently verifying any result or data before relying on it, and you agree that you use these tools and any results or data at your own risk. DBElement, LLC will not be liable for any loss or damage arising from your reliance on any results or data shown by the Service.

Limitation of liability

To the fullest extent permitted by law, DBElement, LLC will not be liable for any damages of any kind arising from the use of the Service, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

In no event shall DBElement, LLC or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Service.

Indemnification

You agree to defend, indemnify, and hold harmless DBElement, LLC and its officers, members, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use or misuse of the Service, your violation of these Terms, your violation of any applicable law, or your infringement of any intellectual property or other right of any person or entity. DBElement, LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with DBElement, LLC in asserting any available defenses.

Governing law

These Terms and your use of the Service will be governed by and construed in accordance with the laws of the State of Oregon, without giving effect to any principles of conflicts of law.

Dispute Resolution

Any disputes arising out of or in connection with these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in Portland, Oregon.

To the fullest extent permitted by law, you and DBElement, LLC agree that any disputes will be resolved on an individual basis only, and that neither party will bring or participate in any class, collective, or representative action against the other. The arbitrator may not consolidate the claims of more than one person and may not otherwise preside over any form of a representative or class proceeding.

Use License

  1. Subject to these Terms, DBElement, LLC grants you a personal, non-exclusive, non-transferable, revocable, limited license to access and use the Service for your personal, non-commercial use. You may not use the Service for any other purpose, or in any manner that is unlawful or infringes the rights of DBElement, LLC or any third party. You may not use the Service in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service. You may not attempt to gain unauthorized access to the Service or any systems or networks connected to the Service. DBElement, LLC reserves the right to revoke this license at any time and for any reason.
  2. This is the grant of a license, not a transfer of title, and under this license you may not:
    1. modify or copy the materials;
    2. use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
    3. attempt to decompile or reverse engineer;
    4. remove any copyright or other proprietary notations from the materials; or
    5. transfer the materials to another person or "mirror" the materials on any other server.
  3. This license shall automatically terminate if you violate any of these restrictions and may be terminated by DBElement, LLC at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

Requests, Suggestions, and Ideas

You grant to DBElement, LLC and its designees a perpetual, irrevocable, non-exclusive fully-paid up and royalty free license to use any ideas, expression of ideas or other materials you submit (collectively, "Idea") to DBElement, LLC without restrictions of any kind and without any payment or other consideration of any kind, or permission or notification, to you or any third party. The submission of your Idea to DBElement, LLC is entirely voluntary, non-confidential, gratuitous, and non-committal.

Revisions and Errata

The materials appearing on the web site could include technical, typographical, or photographic errors. DBElement, LLC does not warrant that any of the materials on its web site are accurate, complete, or current. DBElement, LLC may make changes to the materials contained on its web site at any time without notice. DBElement, LLC does not, however, make any commitment to update the materials.

Linked Content Disclaimer

DBElement, LLC has not reviewed all of the sites linked to its Internet web site and is not responsible for the contents of any such linked site. The inclusion of any link in the Service does not imply endorsement by DBElement, LLC of the site. Use of any such linked web site or application is at the user's own risk.

Account Information

To access any of our apps that require registration, you must create an account. During the account creation process, we may ask you to provide certain information, including but not limited to, your email address and a password. This information is used to protect your account from unauthorized access and to store your settings. It is your responsibility to keep your account login information secure and to notify us immediately if you believe your account has been compromised.

Changes to Terms

DBElement, LLC reserves the right to modify these Terms at any time. We will make reasonable efforts to notify users of any material changes, such as by posting the updated Terms on this page and revising the "Last updated" date above. By continuing to use the Service after the revised terms take effect, you agree to be bound by the revised terms. If you do not agree to the revised terms, in whole or in part, please stop accessing or using the Service.

Privacy Policy

DBElement, LLC has a separate privacy policy that explains how we collect, use, and share information about you when you use the Service. By using the Service, you agree to the collection, use, and sharing of your information as described in our privacy policy.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions of these Terms will remain in full force and effect.
